In short. These terms cover how schools, colleges and their users may use EduSquare. Institutions own and are responsible for the information they put in; we run the service, protect the data and charge the agreed fees. Use EduSquare lawfully and only message people who have agreed to hear from you.
1. About these terms
These Terms of Service ("Terms") govern the use of EduSquare — our website, web application and mobile app (together, the "Service") — provided by Das & Ray Technology, Kolkata, West Bengal, India ("EduSquare", "we", "us").
They apply to two kinds of users:
- Institutions — schools, colleges and other organisations that subscribe to EduSquare; and
- Users — the administrators, teachers, staff, students, parents and guardians to whom an institution gives an EduSquare account.
By using the Service you agree to these Terms. If an institution has signed a separate agreement or order form with us, that document governs the institution's subscription and takes precedence where it differs from these Terms.
2. The Service
EduSquare is a school and college management system. Each institution chooses which parts of it to use — for example admissions, attendance, fees, exams and report cards, timetables, HR and payroll, communication and transport.
We keep improving the Service and may add, change or remove features. We won't materially reduce a paid feature an institution relies on during its subscription without telling it in advance.
3. Accounts
- Institutions create and manage accounts for their own users and decide what each role can see and do.
- Keep your password confidential and don't share your account. You are responsible for activity under your account.
- Tell your institution — or us, at hello@edusquare.in — straight away if you think someone else has used your account. We may ask you to reset your password to protect an account.
- One-time verification codes are sent only by email.
4. Institutions' responsibilities
An institution using EduSquare is responsible for:
- the accuracy of the information it enters, and having a lawful basis for it — including any consent needed from parents or guardians for children's information;
- any consent it records on someone's behalf, for example agreement to receive WhatsApp messages collected on a paper form, which must be genuine and kept as evidence;
- choosing its administrators, giving users only the access they need, and removing access when people leave;
- the content of the notices, announcements and messages it sends through EduSquare; and
- complying with the laws that apply to it, including India's Digital Personal Data Protection Act, 2023.
5. Acceptable use
You must not:
- use the Service for anything unlawful, harmful, harassing, defamatory or discriminatory;
- send messages to people who haven't agreed to receive them, or use the Service for unsolicited promotion;
- try to get into accounts or data you aren't authorised to see, or test, probe or break our security;
- copy, scrape, reverse-engineer or resell the Service, or overload it with automated requests;
- upload malware or content you have no right to share; or
- impersonate anyone or misrepresent your connection with an institution.
We may remove content or suspend access that breaks these rules.
6. WhatsApp, email and notifications
- Messages are sent on the institution's instructions — it chooses which updates go out and through which channels.
- WhatsApp messages go only to people who have agreed to receive them, and must follow WhatsApp's Business Policy. Anyone can stop them by replying STOP or switching them off in EduSquare.
- To protect everyone who uses EduSquare's WhatsApp number, we may pause an institution's WhatsApp messages if they draw complaints, are reported as spam, or break WhatsApp's rules.
- Delivery depends on networks and providers outside our control (WhatsApp, email and phone platforms), so we can't guarantee every message arrives or when.
7. Fees and payment
- Subscription. Institutions pay the fees in their agreement or order form. Prices exclude GST and other applicable taxes, which are added to invoices.
- Communication wallet. Paid channels — email and WhatsApp — are charged per message from the institution's prepaid wallet at the prices shown in EduSquare. If the balance runs out, paid messages may not be sent until it is topped up.
- Late payment. If fees remain unpaid after we have given notice, we may suspend the Service until they are paid.
- School fees paid by parents. Where an institution collects fees online through EduSquare, payments are processed by Razorpay. The fee itself is between the parent and the institution; refunds and disputes about school fees are the institution's responsibility.
8. Your data
- An institution owns the data it puts into EduSquare. We process it only to provide the Service, as described in our Privacy Policy and our agreement with the institution.
- Institutions can ask us for an export of their data at any time.
- When a subscription ends, the institution's data remains available for export for 30 days (or the period in its agreement), after which we delete it, except records we must keep by law.
9. Intellectual property
EduSquare — its software, design, content and brand — belongs to Das & Ray Technology. During its subscription, an institution and its users get a limited, non-exclusive, non-transferable right to use the Service for the institution's own purposes. If you send us suggestions, we may use them to improve EduSquare without any obligation to you.
10. Third-party services
EduSquare relies on services from other companies, including Amazon Web Services (hosting), Meta (WhatsApp), Razorpay (online payments), Expo, Google and Apple (mobile notifications) and OpenStreetMap (maps). Their own terms apply to them, and we aren't responsible for their outages or changes.
11. Availability and support
We work to keep EduSquare available and secure, and schedule maintenance to cause as little disruption as possible, but we can't promise the Service will always be uninterrupted or error-free. Support is available through the Support section inside EduSquare and at hello@edusquare.in; any service levels we have agreed with an institution are in its agreement.
12. Suspension and termination
- An institution may stop using EduSquare as set out in its agreement.
- We may suspend or end access for non-payment, a serious or repeated breach of these Terms, a security risk, or where the law requires — with notice where reasonably possible.
- An institution can remove a user's access at any time. If you leave an institution, your access ends when the institution removes it.
13. Disclaimers
EduSquare is a tool to help institutions run their work. Institutions remain responsible for their decisions — for example checking report cards before publishing them, and checking fee, payroll and statutory figures (such as PF and professional tax) before relying on them. Except as expressly stated in these Terms or an institution's agreement, the Service is provided "as is", without warranties of any kind, to the extent the law allows.
14. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for loss of profit, revenue or data arising from the use of the Service. Our total liability to an institution for any claim is limited to the fees it paid us for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
15. Indemnity
An institution will compensate us for claims and losses arising from information it entered without a lawful basis, messages it sent through EduSquare, or misuse of the Service by its users.
16. Changes to these terms
We may update these Terms as EduSquare changes. We'll post the new version here with its date and tell institutions about significant changes in advance. Continuing to use the Service after a change takes effect means accepting the updated Terms.
17. Governing law and disputes
These Terms are governed by the laws of India. We will first try to resolve any disagreement by talking to each other. If that doesn't work, the courts at Kolkata, West Bengal have exclusive jurisdiction.
